Kate Schneider is a corporate and securities lawyer with extensive experience in securities regulation and compliance, commercial transactions, corporate governance, mergers and acquisitions, joint ventures and strategic alliances, complex internal restructurings/reorganizations and more. Kate counsels clients in a variety of industries including:

Kate earned her J.D. from the Catholic University of America’s Columbus School of Law, where she graduated cum laude and earned a certificate in securities regulation and corporate law. While in law school, she was associate editor of the Journal of Contemporary Health Law and Policy. She was also a national quarterfinalist in the Irving R. Kaufman Memorial Securities Law Moot Court Competition. Kate completed her undergraduate degree with a major in finance and economics at the University of Wisconsin-Madison in 2009.

Kate prides herself on establishing strong relationships with her clients and their management teams in order to fully appreciate their business operations and provide customized guidance, including partnering with tax counsel to ensure optimized structuring. As a result, she is able to address a broad range of client needs relating to entity formation, corporate governance, employment and separation matters, and commercial arrangements in addition to the following:

In her securities and private equity practice, Kate counsels clients through private placement offerings, fund formation and capital raises, and ensures compliance with federal and state rules and regulations. Kate also collaborates with clients in connection with their preparation and filing with the SEC and FINRA of current and periodic reports and other matters arising under the federal and state securities laws.
