Scott R. Beckmen is a partner practicing in the firm’s corporate law where he focuses his practice on mergers and acquisitions, joint ventures, securities offerings, private equity investments, entity structuring and formation, and general business counseling. He also brings experience managing sophisticated transactional and cross-border projects, including large-scale document review and implementation processes.

Scott is known for delivering practical, business-oriented legal counsel to clients across a wide range of industries, including finance, technology, energy, and entertainment. With a focus on agility and innovation, Scott helps clients navigate complex corporate transactions and operational challenges with confidence.

Offering a unique perspective, Scott has legal experience in the entertainment and gaming industries, representing film studios, tech platforms, gaming companies, investment banks and private equity funds in a variety of strategic transactions. His work also extends to clients in sports, sports betting, igaming, blockchain, and emerging technology sectors.

Early in his legal career, Scott gained significant experience in the energy industry, advising on numerous asset acquisitions and commercial agreements across the exploration, production, and transportation lifecycle. He has negotiated and structured complex energy contracts, including ISDA, NAESB, and LEAP master agreements, and counseled clients on regulatory compliance involving DOE, EPA, FTC, and FERC.

  • Managed Due Diligence of Oil and Gas Assets for a Dallas-based, publicly-traded energy company’s $2.4 billion acquisition of acreage in the Permian Basin.
  • Managed Due Diligence of Oil and Gas Assets for an Oklahoma City-based, private energy company’s $284.3 million acquisition of acreage in the Utica Shale.
  • Assisted South Carolina-based refiner and petroleum distribution company with regulatory guidance and compliance under the Department of Energy and Environmental Protection Agency.
  • Managed purchase of and environmental due diligence of Nevada petroleum refining facility.
  • Assisted international petroleum refining company with adherence to and compliance with the Petroleum Marketing Practices Act in negotiations with franchise owners and fuel distributors.
  • Represented a natural gas producer in Texas with respect to asset management agreements on two interstate pipelines.
  • Drafted and negotiated energy management agreements with respect to natural gas-fired generation facilities in California, Texas, and Oklahoma.
  • Assisted international refiner with respect to agreements for the purchase and sale of refined products (including Renewable Identification Numbers) and agreements related to terminal services, as well as the company’s expansion of its crude oil procurement and refined products trading.
  • Represented Dallas investment fund in $40 million Series D investment in growth company in oil and gas industry.
  • Represented Frisco-based investment company in its $25 million investment of oil and gas assets in the Austin Chalk Oil Play in East Texas.
  • Represented Fort Worth-based energy company in $50 million Securitized Token Offering.
  • Represented lender in a $45 million senior secured advancing term loan credit facility for the acquisition of mineral interests in the Permian Basin. The transaction included a participation option for the lender.
  • Represented a Dallas-based, private exploration and production company in its negotiation of a $70 million reserve-based loan. In connection with the acquisition financing, Scott also represented the company in its acquisition of Eagle Ford Shale assets.
  • Represented a Fort Worth-based, private exploration and production company in the $101 million sale of upstream and associated midstream oil and gas assets located in the Eagle Ford Shale.
  • Represented an Austin-based, private exploration and production company in the $275 million purchase of upstream and associated midstream oil and gas assets located in the Permian Basin.
  • Represented a Dallas-based, private exploration and production company in the $91.4 million purchase of upstream and associated midstream oil and gas assets located in the Permian Basin.
  • Managed Due Diligence of Oil and Gas Assets of a Dallas-based, private exploration company in their $2.5 billion acquisition of acreage in the Permian Basin.
  • Represented lead arranger and administrative agent in a $350 million credit facility with Permian Basin focused borrower. The initial borrowing base was $50 million.
  • Represented a Houston-based, private exploration and production company in connection with a $85 million acquisition of Permian Basin oil and gas properties.
  • Obtained dismissal for an Austin-based oil and gas production company, in a breach of contract dispute brought in the United States District Court for the Eastern District of Oklahoma, for lack of personal jurisdiction.
  • Represented Frisco-based investment company in its $6.1 million investment into a robotics start-up company.
  • Represented Frisco-based investment company in its $2.5 million investment into an esports start-up company.
  • Represented Dallas investment fund in $50 million Series A investment in growth company in Artificial Intelligence industry
  • Represented Illinois-based gaming company in its $26.4 million sale to a privately-held Canadian company.
  • Advise Nevada-based CBD and Cannabis Distributor on all matters pertaining to organization and startup of business, including capital formation activities, application for permits to grow, process and dispense CBD and Cannabis in California and Nevada.
  • Represented Los Angeles-based entertainment company in $22.5 million Securitized Token Offering.
  • Represented Austin-based seller in an equity rollover transaction in which a Texas-based private equity firm acquired a controlling interest in two target Texas-based businesses
  • Represented startup technology company in $20 million Series A financing round.
